Alibaba Pictures Group Limited has announced that Ms Chun Ka Yan (“Miss Chun”) will focus on other business affairs of Alibaba Group Holdings Limited (together with its subsidiary, “Alibaba Group”), Ms Chun will step down as company secretary and no longer act as the company’s official representative pursuant to Rule 3.05 of the Securities Listing Regulations on the Stock Exchange of Hong Kong Limited and as the company’s official representative to perform services and receive notifications to the Company. services in Hong Kong under the Companies Ordinance (Chapter 622 of the Laws of Hong Kong Kong) (“Litigation Agent”) with effect from 30 September 2023. The Board of Directors has announced that, following the resignation of Ms Chun, Ms Zhang Ying (“Ms Zhang” ) and Ms Ng Wing Shan (“Ms. Ng”) will be appointed as joint company secretaries of the Company (“Joint Company Secretary” and respectively “Joint Company Secretary”) with effect from 30 September 2023. Ms Ng will also be appointed as Authorized Representative and Litigation Agent effective September 30, 2023.
Zhang has been qualified as a lawyer in the People’s Republic of China since November 2009. He has approximately 20 years of relevant work experience and extensive experience in the legal field. He has served as the Company’s General Counsel since March 2019 and is responsible for leading the Company’s legal department and overseeing all of the Company’s legal, compliance, security and governance matters.
Prior to joining the Company, Zhang served as Director of Investment Law in Alibaba Group’s Legal and Compliance Department from June 2014 to February 2019, and was responsible for legal work related to Alibaba Group’s domestic investments. Before joining Alibaba Group, he worked as a lawyer and partner at the Trade & Finance Law Firm from March 2005 to May 2014. He obtained a Bachelor of Laws degree from China University of Political Science and Law in June 2003, and a Master of Laws degree from London School of Economics and Political Science in November 2004.
Ms Ng currently serves as Associate Director in the Corporate Services Department at Vistra Corporate Services (HK) Limited. Ms Ng has 20 years’ experience in corporate secretarial services and has provided professional corporate services to listed companies and private companies in Hong Kong. Ms Ng currently serves as joint company secretary of a listed company and has served as company secretary for several other listed companies in Hong Kong since 2015.
Ms Ng is a member of the Chartered Governance Institute in Hong Kong and a member of the Chartered Governance Institute in the UK.
