On March 20, 2023, Shuhei Komatsu stepped down as director and chairman of the board of directors of AERWINS Technologies Inc. Mr. Komatsu previously served as Chief Executive Officer and since February 3, 2023 has been a director and chairman of the company. Mr. Komatsu’s resignation was not due to disagreements with the Company on any matter related to the Company’s business, policies or practices. On March 22, 2023, the company’s Board of Directors appointed Daisuke Katano to fill the vacancy left by Mr. Komatsu as director of the company, and on the same date, he appointed Mr. Katano to the company’s Chief Operating Officer.

On March 22, 2023, the company’s Board of Directors appointed Marehiko Yamada as Chairman of the Board of Directors. Mr. Yamada was appointed as an independent director of the company on February 3, 2023. On March 22, 2023, the company’s board of directors also appointed Mike Sayama as deputy chairman of the board of directors.

dr. Sayama was appointed as an independent director of the Company on February 3, 2023. On March 22, 2023, the Company’s Directors also appointed Kensuke Okabe as Corporate Secretary. Mr. Okabe was appointed as Chief Financial Officer of the Company on 3 February 2023.

On March 22, 2023, the Company’s Directors appointed Mr. Yamada as Chairman of the Company’s Compensation Committee and appointed Dr. Sayama as chairman of the Nomination and Corporate Governance Committee. dr. Mr. Sayama previously served as Chair of the Compensation Committee from 3 February 2023 to 22 March 2023. Mr. Yamada served as Chair of the Nomination and Corporate Governance Committee from 3 February 2023 to 22 March 2023.

Mr. Ito, age 46, has served as Global Markets – Investor Relations since 15 June 2022 and is a member of the Board of Directors of AERWINS Inc, a wholly owned subsidiary of the Company. Mr. Ito also serves on the Board of Directors of a wholly owned subsidiary of AERWINS Inc., ALI Technologies Inc. (ALI”) since April 2022. From August 2008 to April 2022, Mr. Ito was the Founder and CEO of Meta Capital.

From May 2002 to July 2008, Mr. Ito served as Vice President and then Director of Credit Suisse in Japan and the United States. From April 1999 to 2002, Mr. Ito was an Associate at Deutsche Bank in Tokyo. Pak Ito has extensive financial experience.

Mr. Ito graduated with a degree in economics from Keio University, Japan. Mr. Ito has never served as a manager in any Reporting Company. Mr. Katano, 38 years old, has been Chief Executive Officer of ALI since March 2019.

Mr. Katano also serves on the Board of Directors of AERWINS Inc. from 15 June 2022 to 3 February 2023. Mr. Katano served on the Board of Directors of ALI from March 2018 to March 2019. Mr. Katano served on the Board of Directors of ASC Tech Agent from December 2019 to March 2022.

Mr. Katano is the CEO of YCP International Ltd. in England from 2016 to 2018. Mr. Katano was the CEO of YCP Japan from 2014 to 2017. Katano was a consultant at The Boston Consulting Group in Japan from 2010 to 2014.

Mr. Katano was a Business Producer at Dream incubator from 2007 to 2010. Mr. Katano has over 10 years of business consulting experience and 5 years of experience in our group. Mr. Katano graduated with a degree in Engineering from the University of Tokyo, Japan.

Mr. Katano did not previously hold a directorship in any reporting company.
