Jiangxi Bank Co., Ltd. has announced that Ms. ZHANG Na will serve as Joint Corporate Secretary of the Bank effective October 20, 2022. Ms. ZHANG Na, 33 years old, joined the Bank in June 2014 and is currently working as a Securities Officer in the office of the Bank’s Board of Directors. He is responsible for the disclosure of information from the Board office, corporate secretarial affairs and the Bank’s corporate governance matters.
Zhang participates in the Bank’s daily operations and is familiar with the Bank’s internal business and work. Zhang graduated from Queen Mary University of London in December 2013 with a master’s degree in economics. dr. Ngai is currently the group director and chief executive of SWCS Corporate Services Group (Hong Kong) Limited and Dr. Ngai. Ngai has more than 30 years of professional practice and senior management experience, including as executive director, chief financial officer and corporate secretary, mostly in finance, accounting, internal control and regulatory compliance, corporate governance and corporate secretariat for publicly traded issuers , including the big red chip companies.
dr. Ngai is chair of the Hong Kong Institute of Chartered Secretaries (now known as Hong Kong Chartered Governance Institute) (2014-2015), an unofficial member of the Working Group for Professional Services of the Economic Development Commission of the Hong Kong Special Administrative Region (2013-2018) and a member Hong Kong Institute of Certified Public Accountants Qualification and Examination Board (2013-2018). dr. Ngai was appointed a member of the General Committee and Chair of the Subcommittee of the Hong Kong Chamber of Listed Companies in June 2014 and September 2020, respectively, and was appointed as Financial Expert Advisor by the Ministry of Finance in June 2016. dr. Ngai is a fellow member of the Chartered Governance Institute of Hong Kong, a fellow member of the Chartered Governance Institute, a member of the Hong Kong Institute of Certified Public Accountants, a fellow member of the Association of Chartered Certified Accountants in the UK, and a member of the Chartered Institute of Arbitrators.
dr. Ngai holds a PhD in economics majoring in finance from Shanghai University of Finance and Economics, a master’s degree in corporate finance from Hong Kong Polytechnic University, a master’s degree in business administration from Andrews University in the United States and a bachelor’s degree (Honours) in law at the University Wolverhampton in England. Prior to the end of the waiver period, the Bank must show and request confirmation from the Exchange that Ms. Zhang, has benefited from Dr. Ngai during the waiver period has gained relevant experience and is able to carry out the duties of a company secretary in accordance with Rule 3.28 of the Listing Rules, so that no further waiver is required. The Stock Exchange may withdraw or amend the exemption if the Bank’s situation changes.
